Make sure you download and install the x64 version of the following Microsoft Visual C++ Runtime Redistributable package since your Windows OS is 64-bit:

http://www.microsoft.com/download/en/de ... x?id=26347

x64

So I uninstalled the C++ for X86 and X64 I had both installed... I rebooted, then reinstalled just the x64 and then reran the upgrade.
I still get a similar message.

It seems that the x86 version of the current runtime library may be out of date (as shown by the 4940 minor version number), so try downloading/install the x86 version of the Visual C++ Runtime Redistributable package from the same URL below, then check if you can run the Installer (Setup.exe) without such Windows Side-by-side errors.

:D
That was the problem... I uninstalled the X64 and X86 and ONLY installed the X86 versions from here http://www.microsoft.com/download/en/de ... x?id=26347
and then it installed fine. After install

I only did the X86 because the program itself is 32bit and runs in the x86 directory of my 64 bit OS...so I didn't need the x64 C++...
